Welcome to store.situational.com. This website is operated by Leadership Studies, Inc. d/b/a The Center for Leadership Studies (“CLS”) and hosted by Shopify, Inc. Shopify provides CLS with the online e-commerce platform that allows CLS to sell CLS products and services to you. Throughout the site, the terms “we,” “us,” and “our” refer to CLS.
Please read these Terms of Use carefully before accessing or using our site. By visiting CLS’ site and/or purchasing something from us, you engage in CLS Services and agree to be bound by the following terms and conditions (“Terms of Use,” “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Use apply to all users of this site, including without limitation, users who are browsers, vendors, customers, merchants, and/or contributors of content. If you do not agree to all the terms and conditions of this agreement, then you may not access this website or use any services. If these Terms of Use are considered an offer, acceptance is expressly limited to these Terms of Use. By agreeing to these Terms of Use, you represent and warrant that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence and you have given CLS your consent to allow any of your minor dependents to use our site.
Overview
CLS provides website features and other products and services to you when you visit or shop at store.situational.com; use CLS products or services; use CLS applications for computer, tablet, or mobile; or use software provided by CLS in connection with any of the foregoing (collectively, “CLS Services”). CLS provides CLS Services, including all information, tools, and services available from our site to you, the user, conditioned upon your acceptance of all terms, conditions, policies, and notices stated herein. CLS offers a variety of CLS Services and additional terms may apply. When you use a specific CLS Service (for example, a learning course purchased through CLS’ shop) you will also be subject to any additional guidelines and the terms and conditions of your written agreement, if applicable, to that CLS Service (“Service Terms”). If these Terms of Use are inconsistent with the Service Terms, Service Terms shall govern and control. Any new features, tools or products which are added to this site shall also be subject to these Terms of Use. You can review the most current version of the Terms of Use at any time on this page. CLS reserves the right to update, change, or replace any part of these Terms of Use by posting updates and/or changes to this page. It is your responsibility to check this page periodically for changes. Your continued use of or access to this website following the posting of any changes constitutes acceptance of those changes.

General License to CLS Services and Access
Subject to your compliance with the Terms of Use and Service Terms and your payment of any applicable fees, CLS grants you a limited, non-exclusive, non-transferrable, non-sublicensable license to access and make personal and non-commercial use of CLS Services.
Your Account
You may need your own private account to access or use certain CLS Services, and you may be required to be logged in to the account. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your account, and you agree to accept responsibility for all activities that occur under your account or password. You understand that your content (not including credit card information) may be transferred unencrypted and involved in (a) transmissions over various networks and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted when transferred over networks.
Products or Services
Certain products and services may be available exclusively online through our website. These products or services may have limited quantities and are not subject to return or exchange as noted in CLS’ Return Policy. We have made every effort to display as accurately as possible the colors and images of CLS products that appear on the store. CLS cannot guarantee that your computer monitor’s display of any color will be accurate. We reserve the right, but are not obligated, to limit the sales of CLS products or Services to any person, geographic region, or jurisdiction. CLS may exercise this right on a case-by-case basis. CLS reserves the right to limit the quantities of any products or services that CLS offers. All descriptions of products or product pricing are subject to change at any time without notice, at the sole discretion of CLS. CLS reserves the right to discontinue any product at any time. Any offer for any product or service made on this site is void where prohibited. We do not warrant that the quality of any products, services, information, or other material purchased or obtained by you will meet your expectations or that any errors in the Service will be corrected.
Accuracy of Billing
We reserve the right to refuse any order you place with CLS. CLS may, in CLS sole discretion, limit or cancel quantities purchased per person, per household, per organization, or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. If CLS makes a change to or cancels an order, CLS may attempt to notify you by contacting the email and/or billing address/phone number provided at the time the order was made. CLS reserves the right to limit or prohibit orders that, in CLS’ sole judgment, appear to be placed by dealers, resellers, or distributors. You agree to provide current, complete, and accurate purchase and account information for all purchases made at CLS’ store. You agree to promptly update your account and other information, including your email address and credit card number and expiration dates, so that CLS can complete your transactions and contact you as needed.
Modifications, Errors, Inaccuracies and Omissions to the Services and Prices
Prices for products are subject to change without notice. CLS reserves the right, at any time, to modify or discontinue CLS Services (or any part of content thereof) without notice. CLS shall not be liable to you or to any third party for any modification, price change, suspension, or discontinuance. Despite CLS’ best efforts, at times, the prices in CLS’ catalog may be mispriced. If the correct price of an item sold by CLS is higher than the CLS stated price, CLS will, at CLS’ discretion, either contact you for instructions before shipping or cancel the order and notify you of such cancellation. Occasionally, there may be information on our site or in a CLS Service that contains typographical errors, inaccuracies, or omissions that may relate to product descriptions, promotions, offers, product shipping charges, transit times, and availability. CLS reserves the right to correct any errors, inaccuracies, or omissions and to change or update information or cancel orders if any information in CLS Services or on any related website is inaccurate, at any time, without prior notice (including after you have submitted your order). We undertake no obligation to update, amend, or clarify information in CLS Services or on any related website, including without limitation, pricing information, except as required by law.
Return Policy
Physical and Shipped Products: No returns or refunds.
Workshop Registrations: Attendees may reschedule their registration to a future workshop within the same calendar year up to 10 days in advance of the original workshop date at no cost. Reschedule requests must be accompanied with the date and location of the alternative workshop and reschedules may only occur once. Cancellations between 30 and 15 days prior to the workshop date will result in a cancellation fee equal to 50% of enrollment. Cancellation within 15 days of the workshop date requires full payment. Cancellations of a rescheduled registration, regardless of timeframe, requires full payment.
Optional Tools
CLS may provide you with access to third-party tools over which CLS neither monitors nor has any control over. You acknowledge and agree that we provide access to such tools “as is” and “as available” without any warranties, representations, or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools. Any use by you of optional tools offered through our site is entirely at your own risk and discretion, and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s). CLS may also, in the future, offer new services and/or features through the website (including the release of new tools and resources). Such new features and/or services shall also be subject to these Terms of Use.

Certain content, products, and services available via CLS Services may include materials from third parties. Third-party links on this site may direct you to third-party websites that are not affiliated with CLS. We are not responsible for examining or evaluating the content or accuracy and we do not warrant and will not have any liability or responsibility for any third-party materials or websites or for any other materials, products or services of third parties. CLS is not liable for any harm or damagers related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party websites. Please review carefully the third party’s policies and practices, and make sure you understand them before you engage in any transaction. Complaints, claims, concerns, or questions regarding third-party products should be directed to the third party.

When you use CLS Services or send emails and other communications from your desktop or mobile device to us, you may be communicating with us electronically. You consent to receive communications from us electronically, such as emails, notices, and messages on this site or through other CLS Services, such as CLS’ MyCLS portal. You agree that all agreements, notices, disclosures, and other communications that CLS provides to you electronically satisfy any legal requirement that such communication be in writing.

All content included in or made available through any CLS Service, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software is the property of CLS or its content supplier and protected by United States and international copyright laws. The compilation of all content included in or made available through any CLS Service is the exclusive property of CLS and protected by United States and international copyright laws.

CLS is not responsible if information made available on this site is not accurate, complete, or current. The content on this CLS site is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary sources of information. Any reliance on the content on this site is at your own risk. This site and its contents may contain certain historical information. Historical information, necessarily, is not current and is provided for your reference only. Indemnification
You agree to indemnify, defend, and hold harmless CLS and our affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these Terms of Use or the documents they incorporate by reference, or your violation of any law or the rights of a third party.
Severability
If any provision of these Terms of Use is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Use. Such determination shall not affect the validity and enforceability of any other remaining provisions.
Termination
The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes. These Terms of Use are effective unless and until terminated by either you or us. You may terminate these Terms of Use at any time by notifying us that you no longer wish to use our Services, or when you cease using our site. If in CLS’ sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Use, we also may terminate this agreement, at any time, without notice, and you will remain liable for all amount due to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).
Entire Agreement
The failure of CLS to exercise or enforce any right or provision of these Terms of Use or Service Terms shall not constitute a waiver of such right or provision. These Terms of Use and any Service Terms with respect to CLS Services constitutes the entire agreement and understanding between you and CLS and govern your use of the Service, superseding any prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and CLS (including, but not limited to, any prior versions of the Terms of Use).
Any ambiguities in the interpretation of the Terms of Use shall not be construed against the drafting party.
Governing Law
Unless expressly agreed upon in a separate written agreement, these Terms of Use shall be interpreted and construed according to, and governed by, the laws of the United States, state of North Carolina, excluding any such laws that might direct the application of the laws of another jurisdiction. The federal or state courts located in Wake County, North Carolina shall have exclusive jurisdiction to hear any dispute regarding CLS Services.
